Portman Ridge Finance Corporation (Nasdaq: PTMN) (the “Company”, “Portman Ridge”, or “PTMN”) reported that it expects to implement the previously announced 1-for-10 reverse stock split effective Thursday, August 26, 2021 with trading to begin on a split-adjusted basis at the market open on that day. Trading in the common stock will continue on the Nasdaq Stock Market under the symbol “PTMN” but the security will be assigned a new CUSIP number.
The reverse stock split was approved by Portman Ridge’s shareholders at its annual stockholders’ meeting held on June 7, 2021, and on August 4, 2021, a reverse stock split ratio of 1-for-10 shares was approved by the Company’s Board of Directors.

Upon the effectiveness of the reverse stock split, every ten shares of the Company's issued and outstanding common stock will automatically be converted into one share of issued and outstanding common stock. No fractional shares will be issued as a result of the reverse stock split. Instead, any stockholder who would have been entitled to receive a fractional share as a result of the reverse stock split will receive cash payments in lieu of such fractional shares. The reverse stock split affects all shareholders uniformly and will not alter any shareholder's percentage interest in the Company's outstanding common stock, except for adjustments that may result from the treatment of fractional shares.

In connection with the reverse stock split, the Company's certificate of incorporation will also be amended to reduce the authorized number of shares of the Company's common stock from 100 million shares to 20 million shares. I’m long gone out of this one, greener pastures and better divs. I have started to build bigger positions, in the other ones. Only reason I came was because of low PPS entry and decent div. But with RS, stock price will increase artificially, however its imo likely the div may not. Just don’t know. I couldn’t see myself adding shares after a RS with a less attractive div - which would cost more $ to acquire, later. IMO, won’t be as good a deal possibly. When I found out, I jettisoned it, and moved money to other low entry stocks with much more attractive divs that I can add even more to, maximizing my div returns monthly. I just don’t IMO, see it here. Hope this works out and it zooms up in PPS for you and everyone else!! Who knows maybe they increase divs to match the higher PPS! No guarantee they will, but GLTA!

Yep, traditionally RS’s tend to fall in PPS eventually afterward. There are some who have stayed steady or increased. But I just don’t see this here.

IMO, there’s a reason it’s below $3.00 now. 1 so so quarter did not convince me to stick around. The PPS is only reason I was here along with the div. The spike after RS, is temp for the PPS, it may not last and will not result in increase in divs. But you will lose shares, off the RS, and if PPS slides, you just lost $, off original investment. Then again who knows maybe it climbs right?!!

I’m not usually a believer in RS’s, been around 40 years in stocks. Rule of thumb is I always jettison before RS’s, but that’s just me. I certainly am not providing you advice, or urging you to do anything, your choice is your own.

But hey it’s your port and decision. I’m already out and reinvested into 2 other companies that have better higher returns in dividends with just a tad higher in PPS. So I added 8200 shares in 2 others, that will make $533 per month.

I wish you well- but I jetted this. Hopefully the PPS increases after RS!

I sold off recently, the RS, imo and just my opinion, the stock could slide over following year after the split. So I had been acquiring, but now I’m out. I’m in other stocks under $6 that produce high divs. In my port, it’s majority of under $6 with healthy divs. There are others over $6, but are not majority. You’ll make your own decision and you should, I’m not giving advice. But I’m out.

Interesting conference call. Good questions with solid answers:
- average cost of share buyback reflects late quarter purchases, since it wasn't possible during merger. < someone questioned the high buyback cost per share over term, why not buyback at lower prices that were present >.
- And share reverse by 10 > 1 coming from strength not weakness. One Q noted reverse splits usually result in a 10% stock price drop. The continuing buyback was offered as counterpoint, along with general advice that this step would be good for the firm's valuations going forward.

Interesting stock, for sure.

Welcome aboard. PTMN has recovered and some from the market break of March 2020. As long as it continues to move up in the manner it has been going, we should continue to see new 52 week highs. JMHO.

Hello Board:
I'm new to PTMN, but I'm not new to BDCs. This looks like a long-term buy and hold prospect, as it is under new, and interesting new, mgmnt. Way off the popular radar, it is merger-growth inquisitive, and with an EU linkage. So I will likely start a steady investment chunk monthly or twice monthly, for the foreseeable as a very small-scale personal investor with DRIP intent.

My opinion of PTMN is based on how I read its chart. At this time it has recovered from the market break in March 2020. I do expect it to stay in the $2 range for at least the next 3 to 6 months. Just my thoughts. Hope you have a great day.

NEW YORK, Nov 9, 2009 (GlobeNewswire via COMTEX News Network) -- Kohlberg Capital Corporation (Nasdaq:KCAP) (the "Company") has delayed the release of its full earnings results for the quarter ended September 30, 2009 while it is in discussion with its independent public accountants, Deloitte & Touche LLP ("Deloitte"), regarding valuation determinations under Statement of Financial Accounting Standards No. 157 -- Fair Value Measurements ("SFAS 157") included in its financial statements for the fiscal year ended December 31, 2008 (the "December 31, 2008 financial statements") and for subsequent interim periods in 2009. The Company has been informed by Deloitte that as a result of an annual internal inspection process, certain questions have been raised by Deloitte regarding the Company's methodology and process of valuing its loan portfolio investments under SFAS 157. Deloitte has requested information in addition to that which was previously provided by the Company for purposes of its review. Deloitte issued an unqualified opinion on the December 31, 2008 financial statements, which was included in the Company's Annual Report on Form 10-K filed with the Securities and Exchange Commission on March 16, 2009.
