Revenue for the quarter totaled $484.4 million, below market expectations of $487.62 million. Nevertheless, sales increased 8% from $447.6 million in the same period a year earlier. Across the network, same-store sales rose 2%, reflecting continued demand for the company’s automotive maintenance and repair services. Full-Year Guidance Reaffirmed Driven Brands left its fiscal 2026 outlook unchanged. The company continues to expect adjusted earnings per share of between $1.15 and $1.25, with the midpoint of $1.20 matching analyst expectations. Revenue guidance was also maintained at a range of $1.95 billion to $2.05 billion. The midpoint of $2.0 billion is in line with current Wall Street forecasts. For the first quarter, Driven Brands delivered revenue of $484.4 million, an increase of 8% versus the prior year. System-wide sales increased 6% to $1.6 billion, driven by a 2% increase in same store sales and 5% increase in store count versus the prior year. Net income from continuing operations was $23.8 million or $0.14 per diluted share versus $13.5 million or $0.08 per diluted share in the prior year. Adjusted Net Income1 was $49.0 million or $0.30 per diluted share versus $38.8 million or $0.24 per diluted share in the prior year. Capital and Liquidity The Company ended the year with a net leverage ratio of 3.7x Adjusted EBITDA1 and total liquidity of $634 million consisting of $103 million in cash and cash equivalents and $531 million of undrawn capacity on its variable funding securitization senior notes and revolving credit facility. Lease adjustments The Company identified certain leases that originated in prior periods beginning in 2023 where the lease had not been recorded at the time of lease commencement. The impact of the errors to the consolidated statements of operations for fiscal years 2024 and 2023 is increases of $2 million and $1 million, respectively, to company-operated store expense. The impact of the errors to the consolidated balance sheet as of December 28, 2024 is an increase of $40 million to operating lease right-of-use assets, an increase of $2 million to accrued expenses and other liabilities and an increase of $40 million to operating lease liabilities. Cash adjustments The Company identified unreconciled and aged differences between the general ledger cash balance and bank statements in prior years resulting in overstatement of cash and revenue and understatement of selling, general, and administrative expense, primarily impacting accumulated deficit in periods prior to fiscal year 2023. The impact of the errors relating to cash adjustments to the consolidated statement of operations for fiscal year 2024 is an increase to selling, general, and administrative expenses of $4 million. The impact of the errors to the consolidated statement of operations for fiscal year 2023 is a decrease to company-operated store sales of $6 million and a $1 million increase to selling, general, and administrative expenses. The impact of the errors to the consolidated balance sheet as of December 28, 2024 is a decrease to cash and cash equivalents of $28 million. The errors further affect the opening and closing cash balances and operating cash flows in the consolidated statements of cash flows for fiscal years 2024 and 2023. The impact of the errors to the opening cash balances in the consolidated statements of cash flows for fiscal years 2024 and 2023 is a decrease of $21 million and $14 million respectively. The impact of the errors to the closing cash balances in the consolidated statements of cash flows for fiscal years 2024 and 2023 is a decrease of $28 million and $21 million, respectively. Accounts payable adjustments The Company identified unreconciled and aged differences between the general ledger accounts payable balance and related subledger systems in prior years as a result of incorrect recording, offsetting, and consolidation of intercompany transactions, resulting in understatements in accounts payable and understatements of company-operated store expenses depending on the nature of the reconciling items. The impact of the errors to the consolidated statement of operations for fiscal year 2024 is a $2 million increase to selling, general, and administrative expenses and a $2 million decrease to company-operated store expenses. The impact of the errors to the consolidated statement of operations for fiscal year 2023 is a less than $1 million increase to selling, general, and administrative expenses, and a $32 million increase to company-operated store expenses. The impact of the errors to the consolidated balance sheet as of December 28, 2024 is an increase to accounts payable of $7 million. Expense classification adjustments During fiscal years 2024 and 2023, certain supply and other expenses were reflected within company-operated store expenses. This error resulted in company-operated store expenses being overstated by $35 million and $27 million for fiscal years 2024 and 2023, respectively, and a corresponding understatement of supply and other expenses in those periods. Accounts receivable adjustments The Company identified unreconciled and aged receivables, misapplied cash and clearing entries, allowance calculations that required correction, and certain accounts receivable not recorded in the subledger, primarily impacting accumulated deficit in periods prior to fiscal year 2023. The impact of the errors to the consolidated statement of operations for fiscal year 2024 is a $2 million decrease to company-operated store sales, a $2 million decrease to supply and other revenue, and a $1 million increase to selling, general, and administrative expenses, as well as other immaterial impacts. The impact of the errors to the consolidated statement of operations for fiscal year 2023 is a less than $1 million increase to company-operated stores sales, a $3 million decrease to supply and other revenue, and a $9 million increase to selling, general, and administrative expenses, as well as other immaterial impacts. These issues resulted in an overstatement of accounts receivable of $26 million as of December 28, 2024. Other adjustments The Company has calculated the tax impact of the errors and has also identified other immaterial errors, which have been reflected in the tables below. The following tables present the restatement adjustments to previously issued consolidated financial statements, including the previously reported consolidated statement of operations for fiscal year 2024, consolidated balance sheet as of December 28, 2024, consolidated statement of cash flows for fiscal year 2024, and consolidated statement of operations and consolidated statement of cash flows for fiscal year 2023. Driven Brands Holdings Inc. (NASDAQ: DRVN) (“Driven Brands” or the “Company”) today announced that it received a notice from The Nasdaq Stock Market LLC (“Nasdaq”) on April 15, 2026 (the “Notice”). The Notice indicated that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”) as a result of its delay in filing its Annual Report on Form 10-K for the period ended December 27, 2025 (the “2025 Form 10-K”) with the Securities and Exchange Commission (the “SEC”). The Listing Rule requires companies with securities listed on Nasdaq to timely file all required periodic reports with the SEC.


The Notice from Nasdaq is standard practice in the event of a delayed periodic financial report filing. The Notice has no immediate effect on the listing or trading of the Company’s common stock on Nasdaq. In accordance with Nasdaq’s listing rules, the Company has 60 calendar days after the Notice, or until June 15, 2026, to submit a plan of compliance to Nasdaq addressing how the Company intends to regain compliance with the Listing Rule. Pursuant to the Notice, Nasdaq has the discretion to grant the Company up to 180 calendar days from the 2025 Form 10-K’s due date or until October 12, 2026, for the Company to regain compliance with the Listing Rule.

The Company had approximately $130 million in cash and cash equivalents as of March 28, 2026, and continues to generate solid free cash flow. In addition, the Company’s revolving credit facility and securitization variable funding notes are currently undrawn. Management continues to believe it has adequate liquidity and operating cash flow for its needs going forward.



The Company currently estimates ending the first quarter with total net debt of approximately $1.6 billion, down from approximately $2.1 billion as of December 27, 2025.



The Company intends to provide Fiscal 2026 Outlook when it files the 2025 Form 10-K.



Update Regarding the 2025 Form 10-K and Impact on Q1 2026 Form 10-Q


As previously disclosed, on February 23, 2026, the Audit Committee of the Board of Directors, after consultation with the Company’s management, concluded there were material errors in its previously issued consolidated financial statements for the fiscal year ended December 28, 2024 and the fiscal year ended December 30, 2023 contained in the Company’s Annual Report on Form 10-K for fiscal year 2024, and in its previously issued unaudited condensed consolidated financial statements for each of the quarterly and year-to-date periods within fiscal year 2024 as well as the quarterly and year-to-date periods for the periods ended September 27, 2025, June 28, 2025 and March 29, 2025, and concluded that such financial statements should not be relied upon and required restatement. The Company is not yet able to provide additional details regarding its financial results for the impacted periods.


As a result, the Company could not timely file its 2025 Form 10-K. As disclosed on March 11, 2026, the Company previously expected to file its 2025 Form 10-K by April 26, 2026; it no longer expects to meet this date. In accordance with Nasdaq listing rules, the Company has until June 15, 2026 to submit a plan to regain compliance with respect to its delinquent Form 10-K. The Company currently expects to file the 2025 Form 10-K on or before this deadline. Due to the delay in filing its 2025 Form 10-K, the Company does not currently expect to timely file its first quarter 2026 Form 10-Q.


In connection with the restatement, the Company has identified material weaknesses in its internal control over financial reporting and in its disclosure controls and procedures. The Company expects to provide further detail regarding the nature of these material weaknesses and its remediation efforts in the 2025 Form 10-K.


Until the restatement and related reporting are complete, the Company expects to limit communications on these matters to required public disclosures.

On January 27, 2026, Driven Brands Holdings Inc. (the “Company”) announced the completion of the sale of its International Car Wash (“ICW”) business. This resulted in corresponding changes to the Company’s financial reportable segments.


Beginning in the fourth quarter of 2025, the Company plans to report the results of ICW as discontinued operations.


Prior to this change, the Company had three reportable segments: Take 5; Franchise Brands; and Car Wash. Our new reporting structure aligns with how the Company is now managing the business as a result of the ICW divestiture.


Following these changes, starting in the fourth quarter of 2025, the Company’s three operating and reportable segments are:

Take 5 - consisting of the Take 5 Oil Change business, including our supply distribution channel through Spire Supply.

Franchise Brands - consisting of our portfolio of franchised brands, which include CARSTAR, Meineke, Maaco, Uniban and 1-800 Radiator, among other smaller brands. These brands are over 99% franchised.

Auto Glass Now – consisting of our U.S. Retail, Commercial and Insurance glass businesses.

Driven Brands Holdings Inc. (NASDAQ: DRVN) (“Driven Brands” or the “Company”) today announced the completion of the sale of IMO, its international car wash business, to Franchise Equity Partners.


“The completion of this transaction is a strategic milestone for Driven Brands, sharpening our focus on what we do best — scaling our industry-leading Take 5 business and driving consistent cash generation from our franchise brands,” said Danny Rivera, President and Chief Executive Officer. “I want to thank everyone involved for their hard work in closing the transaction. This divestiture simplifies our portfolio, strengthens our balance sheet, and further positions Driven Brands to generate value for shareholders.”


Under the terms of the agreement, Franchise Equity Partners paid Driven Brands total aggregate consideration of approximately € 411 million.


Cash proceeds from the transaction will primarily be used to pay down debt.


The Company plans to report the results of the Car Wash segment as discontinued operations beginning in the fourth quarter of 2025. Auto Glass Now, currently reported in the Corporate & Other segment, will be reported as a stand-alone segment beginning in the fourth quarter of 2025.


In addition, the Company expects to furnish a Form 8-K with the Securities and Exchange Commission in mid-February to provide unaudited historical recast quarterly financial operating results for the first three quarters of fiscal 2025, reflecting the Company’s updated segment reporting structure resulting from the completed disposition of its international car wash business.
