Looking to add, nice news today. Total debt (was) $120m, revenues ~$90m. Will be pretty much debt free, $115m market cap, 15m OS, 11m float traded today, nice SS. 52 highs + coming imo.

Shares of Asure Software Inc. (ASUR) rose more than 20% in early trading Tuesday after the company said it agreed to sell its workspace-management business for $120 million in cash.

The Austin, Texas, software company said it plans to use the proceeds to repay most of its debt, and said it will focus on its human capital management solutions.

Asure is selling the business to FM:Systems, a privately held company backed by private-equity firm Accel-KKR.

“This transaction bolsters Asure’s capital structure as we plan to pay down the majority of our debt. It also increases our mix of recurring revenue to over 90%. While we plan to focus on organic growth with the help of upsell and cross-sell initiatives, we will also be in a strong position to pursue accretive acquisitions. Furthermore, the transaction will be attractive from a tax perspective for our shareholders,” concluded Goepel.

If you hold 750+ shares, you will remain a shareholder, but you won't be able to trade your shares on the open market since the company will be deregistering. In essence, your stock will be worthless unless they pay dividends or you can find a buyer to privately purchase your shares.

At this point, it would be best for you to sell your shares, but keep 749 so that they get cashed out at $0.36.

Alright all, i have a question:

Why was the last quarter so bad? It was the worst quarter in a few year period, and the first losing quarter in the last 5 quarters.

I did read this:

"Outlook
The Company continues to fully integrate the iEmployee operations, develop its sales force to increase sales performance, and release new software updates. Management believes its software and services revenues will continue to increase. Gross margins from the segment are expected to improve during the next fiscal quarter. Management will continue to evaluate additional operational synergies from the iEmployee acquisition and further extend its market reach both domestically and in the international markets.

The Company did not have any intellectual property licensing revenues for the three months ended October 31, 2007. Management does not anticipate any additional licensing revenues from the patents which have generated such revenues in prior fiscal years. Although the Company continues to explore its patent portfolio for additional opportunities, management can give no assurance of future licensing revenues and believes any revenues to be generated from the Company's remaining patent portfolio may be less than those generated historically."

I am guessing the large revenues/income posted before were primarily from licensing revenues, which the company now does not ever expect to see again in the foreseeable future?

The notice further provides that in accordance with Nasdaq Marketplace Rule 4450(e)(2), the Company will be provided 180 calendar days, or until August 4, 2008, to regain compliance. Compare the ratios (check the price to book ratio as an example). Compared with similar companies it is evident that Asure has tremendous potential.

The stock price took a hit with the latest market downturn. It wont be long before this company is "discovered" again soon.
