ROTORK p.l.c. - SHAREHOLDLNGS 1N EXCESS OF 3%

Prudential Portfollo Managers Limited has today advised that, as a result of
the repurchase of 1,200,000 Ordinary Shares of 5p each which took place on 28
November 1997, the holding by Prudential Client (MSS) Nominees Limited Account
PAC of 6,074,101 such shares represents 7.02% of the Company's issued share
capital on 28 November 1997.

Following the repurchase of 500,000 Ordinary Shares of 5p each which took place
on 1 December 1997, such holding now represents 7.062% of the Company's current
86,005,101 issued ordinary shares.
