TRANSACTIONS INVOLVING DIRECTORS
ACQUISITION BY PEP MANAGER

Bradford & Bingley (PEPS) Limited, the manager of W.H.Whiteley's Single Company
PEP, has today advised me that he has acquired 6 ordinary shares of 5p each in
the capital of Rotork p.l.c. by way of reinvestment of dividend proceeds.  The
acquisition took place on 3 October 1997 at a price of #3.15 for each share.

Mr. Whiteley's beneficial holding has, therefore, increased by 6 ordinary shares
in the capital of the Company.
