          PEARL STREET HOLDINGS PLC ("Pearl Street" or the "Company")
                            SIGNIFICANT SHAREHOLDING

The Company was informed on 22 October 2004 that on that date Griffin Group plc
("Griffin") disposed of 50,000 Ordinary Shares of 1p each (the "Shares") at 7.5p
per Share.

Following the sale described above, Griffin is now interested in 9,950,000
Shares, representing
38.66% of the Company's issued share capital.
