                      COSTAIN GROUP PLC ("the Company")

                Notification concerning interests in shares

1. We, being a beneficial owner of shares in the Company, hereby give notice to
the Company, pursuant to the provisions of Section 202(4) of the Companies Act
1985, of the events referred to below:

13,875,000 Ordinary Shares of 10p each in the capital of the Company ("Ordinary
Shares") have been acquired by NY Nominees Limited under the open offer details
of which were contained in the Company's circular to shareholders dated 10
October 1997.

We are interested in the Ordinary Shares referred to above within the meaning of
Section 209 of the Companies Act 1985.

2. Immediately following the event referred to in paragraph 1 above, we had a
notifiable interest (within the meaning of Section 199(2) of the Companies Act
(1985), in 66,387,272 Ordinry Shares.  Such shares were registered in the
following names:-
