Aelis Farma (ISIN: FR0014007ZB4 – Ticker: AELIS – the
“Company”), a clinical-stage biopharmaceutical company
specialized in the development of treatments for brain diseases,
today announces the launch of a capital increase without
shareholders’ preferential subscription rights reserved to specific
categories of investors, in accordance with Article L. 225-138 of
the French Commercial Code, of approximately €5 million, through an
accelerated book-building process (the “Reserved
Offering”).
Aelis Farma will use the net proceeds of the Reserved Offering
to :
- fund the continued development of its CB1-SSi therapeutic
candidates by performing pre-clinical proof of concept studies to
select:
- A new CB1-SSi for obesity related metabolic diseases and
pathological fibrotic conditions
- A new CB1-SSi for Dopamine dependent Brain Disorders as for
example Attention Deficit Hyperactivity Disorders (ADHD) and/or
dopamine hyperactivity related orphan diseases
- working capital and other general corporate purposes.
On the basis of planned expenditure, total cash and cash
equivalents as of December 31, 2023, of €20.2 million, and the
funds raised, the Company estimates that it will be able to finance
its operations to Q4 2026.

Terms and Conditions of the Reserved Offering
The Reserved Offering will be carried out through a share
capital increase without shareholders’ preferential subscription
rights pursuant to Article L. 225-138 of the French Commercial
Code, reserved to categories of investors defined under the 15th
resolution of the annual general meeting of June 4, 2024 (the
“AGM”) (i.e. (i) natural or legal persons, including
companies, trusts, investment funds or other investment vehicles,
regardless of their form, governed by French or foreign law, who
habitually invest in the pharmaceutical, biotech, or medical
technology sector, as appropriate, when concluding an industrial,
commercial, licensing, research or partnership agreement with the
Company (or a subsidiary); and/or (ii) companies, institutions or
entities, regardless of their form, French or foreign, exercising a
significant part of their activity in the aforementioned sectors or
in the cosmetic or chemical field or with regard to medical devices
or research in these areas or which have concluded an industrial,
commercial, licensing, research or partnership agreement with the
Company (or a subsidiary); and/or (iii) any lending institution,
any French or foreign investment service provider or member of an
investment banking syndicate or any company or investment fund
undertaking to subscribe to any issue likely to result in a capital
increase in the future, which could be executed by virtue of this
delegation in the context of implementing a financing line through
equity or bonds; and/or any French or foreign investment service
provider, or any foreign institution with equivalent status, who is
likely to guarantee the completion of an issue intended to be
placed with the persons referred to in: (i) and/or; (ii) above;
and, in this context, to subscribe to the issued securities) and
within the limits set forth in the 15th and 23rd resolutions of the
AGM.
The Reserved Offering will consist of (i) an offering in Europe
(including in France) of ordinary shares exclusively to qualified
investor within the meaning of Article 2(e) of Regulation (EU)
2017/1129, as amended, and (ii) a private placement (x) outside the
United States in reliance on Regulation S under the U.S. Securities
Act of 1933, as amended (the “Securities Act”) and (y) in
the United States to a limited number of qualified institutional
buyers as defined in Rule 144A under the Securities Act, pursuant
to an exemption from registration under the Securities Act.
The total amount of the Reserved Offering would be approximately
€5 million, with a possibility to increase this total amount,
subject to investor demand.
The offering price of the new shares will represent a maximum
discount of 20% to the Company’s shares on the Euronext Paris
regulated market at the time of the last trading session preceding
pricing (i.e. July 30, 2024), in compliance with the 15th
resolution of the Company.
The Reserved Offering will be carried out by "accelerated
book-building", at the end of which the number of new shares to be
issued and the price per share will be determined by the Chief
Executive Officer of the Company, pursuant to and within the limits
of the sub-delegations of authority granted by the Board of
Directors of the Company on July 30, 2024 and in accordance with
the 15th and 23rd resolutions of the AGM.
The accelerated book-building process for the Reserved Offering
will be initiated immediately following the publication of this
press release and is expected to close before markets open tomorrow
(July 31, 2024), subject to early closing. The Company will
announce the results of the Reserved Offering by press release
after the order book closes, tomorrow before the market opens.
Settlement-delivery of the new ordinary shares and their
admission to trading on the Euronext Paris regulated market are
expected to occur on August 2, 2024 . The new shares will be of the
same class and fungible with the existing shares, will carry all
rights attached to the shares, and will be admitted to trading on
the Euronext Paris regulated market under the same ISIN code
FR0014007ZB4.
Financial Intermediaries
Stifel Europe Bank AG (“Stifel”) is acting as Sole Global
Coordinator and Sole Bookrunner in connection with the Reserved
Offering. Stifel is also acting as Centralizing Agent. The Reserved
Offering is subject to a placement agreement entered into between
the Company and Stifel dated July 30, 2024, and will be completed
by a terms of issue upon pricing. Such agreement does not
constitute a firm undertaking (garantie de bonne fin) within the
meaning of article L. 225-145 of the French Commercial Code.
Lock-up undertakings
In connection with the Reserved Offering, the Company has
undertaken with Stifel to refrain from issuing shares for a period
of 90 calendar days from the settlement-delivery date of the
Reserved Offering, subject to customary exceptions.
In connection with the Reserved Offering, management has entered
into a lock-up agreement with Stifel for a period ending 90
calendar days after the settlement and delivery date of the
Reserved Offering, subject to customary exceptions.
Prospectus
The Reserved Offering is not subject to a prospectus requiring
an approval from the French Financial Markets Authority (Autorité
des Marchés Financiers) (the "AMF").
