Each of the 11,333,334 Units consists of one common share in the capital of the Company (each, a "Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"), with each Warrant entitling the holder thereof to acquire one additional Share at an exercise price of $0.45 per Share for a period of 18 months.The Warrants are subject to acceleration in certain limited circumstances. (CSE: RAIL) (OTCQB: RLAIF) ("Railtown" or the "Company") is issuing the following news release to clarify its disclosure pursuant to a recent review of the Company's continuous disclosure record by the British Columbia Securities Commission (the "BCSC").October 8, 2025 News ReleaseIn this news release, Railtown announced that it had entered into a memorandum of understanding ("MOU") with Uniserve Communications Corporation (TSXV: USS) ("Uniserve") regarding a strategic partnership. The Company would like to clarify that the MOU is non-binding, is for a term of 12 months beginning on September 23, 2025 but subject to mutually agreeable extensions, and that either party has the right to terminate the MOU upon 30 days' written notice. The primary purpose of the partnership is to allow Uniserve to integrate Railtown's AI frameworks, tools and solutions into Uniserve's offerings, thereby enabling Uniserve's internal sales team to promote and sell AI capabilities to Uniserve's customers.Each of Railtown and Uniserve has certain defined obligations under the MOU, pursuant to which the parties have agreed to negotiate and execute separate commercial agreements, statements of work or service orders, as the case may be, in connection with, among other things, customer engagements, revenue sharing and pricing. Neither party is required to pay any fees to the other under the MOU, and Company and Uniserve are currently in the process of modelling their revenue sharing strategy.Railtown is capable of readily deploying its technologies to Uniserve's customers, and expects to conclude one or more definitive agreements with Uniserve in the coming months.September 23, 2022 News ReleaseIn this news release, Railtown announced that it had entered into a service provider license agreement (the "SPLA") with Quisitive Technology Solutions Inc. ("Quisitive") pursuant to which the Company agreed to provide a white-label version of its technology to Quisitive to be branded and sold as Velocity Insights. The Company would like to clarify that the SPLA was technically an interim agreement with a term of six (6) months and was intended to be superseded by a longer-term definitive license agreement that has yet to be negotiated. In addition, each party had the ability to terminate the SPLA prior to the completion of the term by providing 30 days' written notice to the other party, with certain support obligations of Railtown continuing for a transition period of four (4) months following the effective date of termination.The SLPA required the Company to provide a license to the technology and related support services to Quisitive at no cost, and the primary purpose of the agreement was to confirm the viability of the technology for use and integration with Quisitive's products and services, and to test the technology with up to 10 customers of Quisitive. Despite the expiry of the SPLA and the acquisition of Quisitive by H.I.G. Capital in early 2025, the testing is ongoing and Quisitive continues to offer the technology to its customers.Although Railtown has not generated any revenue from Quisitive or its customers to date, the Company anticipates entering into a revenue sharing agreement with Quisitive upon the adoption of any Quisitive technology that includes a version of the company's platform. In the meantime, the Velocity Insights product suite remains available for purchase on a stand-alone basis on Microsoft Marketplace.June 28, 2024 News ReleaseIn this news release, Railtown announced a strategic partnership with Mila - Quebec Artificial Intelligence Institute ("Mila"). The Company would like to clarify that, under the partnership agreement governing the relationship between the parties, Railtown paid Mila the sum of $10,000 plus applicable taxes - Mila's standard fee for new partners - in exchange for certain privileges typically provided to Mila's partners including having the Company's name or logo appear on Mila's website and certain promotional documents, and the ability to access and use certain of Mila's resources, including research, talent and intellectual property (such as, for example, Mila's expertise on advanced computing technologies, Mila's students for internship purposes, and a presence for Railtown in Mila's artificial intelligence "hub"). The partnership agreement was for a term of 12 months and automatically terminated on June 19, 2025; however, the Company continues to engage with Mila and anticipates partnering again with Mila in the future.July 23, 2024 News ReleaseIn this news release, the Company announce that it had entered into a co-development agreement with the Alberta Machine Learning Institute ("Amii") pursuant to which the parties agreed to partner on a specific project and build related to Railtown's core technology. The Company would like to clarify that the relationship was governed by Amii's customary services contract and an accompanying statement of work ("SOW"), and that the term of the relationship was the longer of 14 months or one (1) month following the final day of employment of the Amii machine learning resident dedicated to the project (the "ML Resident").In consideration for the services of both Amii and the ML Resident under the program covered by the agreement and SOW, Railtown paid Amii an aggregate of $100,000 plus GST, being Amii's standard fee for programs of this nature. Although the Company no longer has access to Amii's resources following the automatic termination of the relationship in July 2025, the ML Resident was hired by Railtown following the completion of the program and is currently a full time employee.June 9, 2025 News ReleaseIn this news release, the Company announced a strategic partnership with ESGAI Technologies Inc. ("ESGAI") to co-develop an advanced suite of intelligent ESG (Environmental, Social, Governance) software agents. The Company would like to clarify that the partnership is structured as a MOU between the parties that anticipates the execution and delivery of a formal license agreement (the "License Agreement") whereby ESGAI will license certain software technology owned and developed by Railtown in connection with the development of the agents.The effective date of the MOU is June 6, 2025, and it automatically terminates upon the earlier of (a) the execution of the License Agreement, (b) the mutual written agreement of the parties, and (c) 180 days from the effective date. July 28, 2025 News ReleaseIn this news release, Railtown announced a strategic joint partnership with Braiyt AI Inc. ("Braiyt") to deliver AI technologies to Dubai and the broader Middle East region. The Company would like to retract the overly promotional disclosure in the news release and confirm that the partnership is structured as a MOU between Braiyt, Railtown and AIP, pursuant to which Braiyt agreed, for a term of three years, to promote the products and services of each of the Company, AIP and any affiliates of AIP in the Middle East as opportunities arise. In exchange, Braiyt is entitled to enter into a finder's fee arrangement with the relevant selling party on terms to be negotiated between the parties.GeneralIn certain of Railtown's previously filed continuous disclosure documents, the Company has used phrases such as "selling its AI services and solutions" that the BCSC believes may potentially be misleading given the lack of revenue reflected in the Company's financial statements at the time. While the Company acknowledges that the language may have been less than perfect and that a phrase such as "the AI services and solutions are available for sale" may technically have been more accurate, the Company would like to clarify that it has in fact generated nominal (i.e., non-material) sales revenue from paying customers.In addition, the BCSC has expressed its concern over the accuracy of phrases such as "the platform is fully trained on clients' applications" (from Railtown's news release dated December 6, 2023), and that the system "continually trains on a client's application" and "automates a wide range of tasks associated with the client's application" (from Railtown's management discussion and analysis for the period ended June 30, 2025), because the Company either had no customers or a limited number of customers at the relevant time. The Company would like to clarify that it was using the word "client" in a general sense in this disclosure - that is, as a substitute for "user" and not in relation to a specific customer - and that the language was intended to convey how the Company's technology works once a customer downloads and connects to the platform. Railtown AI Technologies Announces $3.4M Private Placement Lead by BlackBerry Co-Founders Mike Lazaridis and Doug Fregin, with Lazaridis Joining Advisory Board to Drive Canadian Innovation

The Private Placement consists of up to 11,333,334 units of the Company (each, a “Unit”) at a price of $0.30 per Unit, with each Unit comprised of one common share in the capital of Railtown (each, a “Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant is exercisable into one (1) Share at a price of $0.45 per Share for a period of 18 months from the date of issuance, subject to acceleration in certain limited circumstances.
Mr. Lazaridis and Mr. Fregin are two of Canada’s most accomplished technology entrepreneurs who pioneered the modern smartphone industry. They grew Research In Motion from a startup into one of Canada’s most successful technology companies with $19 billion in annual revenues, 18,000 employees worldwide, and a peak market value of $68 billion.

As described above, the Warrants issuable in Private Placement are subject to acceleration such that if, during a period of 10 consecutive trading days prior to their expiry date, the daily volume-weighted average trading price of the Shares on the Canadian Securities Exchange (the “CSE”) or such other stock exchange where the majority of the trading volume occurs, exceeds $0.90 for each of those 10 consecutive days, the Company may, within 30 days of such an occurrence, give written notice to the holders of the Warrants that the securities will expire at 5:00 p.m. (Vancouver time) on the 30th day following the giving of notice unless exercised by the holders prior to such date. Any Warrants which remain unexercised at 5:00 p.m. (Vancouver time) on the 30th day following the giving of such notice will expire at that time.
The Company intends to use the proceeds of the Private Placement for general working capital purposes and may pay finder’s fees to eligible finders in the form of cash and/or common share purchase warrants. The Offering is subject to certain conditions including, but not limited to, receipt of all necessary approvals including the approval of the CSE.
All securities issued in connection with the Private Placement will be subject to a standard hold period of four months and one day in accordance with applicable Canadian securities laws.

Vancouver, British Columbia--(Newsfile Corp. - November 27, 2025) - Railtown AI Technologies Inc. (CSE: RAIL) (OTCQB: RLAIF) ("Railtown" or the "Company"), a leader in Canadian-built artificial intelligence (AI) solutions, is pleased to announce the closing of its previously announced proposed amalgamation transaction with AI Partnerships Corp. ("AIP") on November 26, 2025 (the "Transaction").
The Transaction closed pursuant to an amalgamation agreement (as amended) entered into among the Company, a wholly owned subsidiary of the Company ("SubCo") and AIP, as previously announced on October 8, 2025 (the "Amalgamation Agreement").
Under the terms of the Transaction, Railtown acquired all of the outstanding shares of AIP from the holders thereof in exchange for 49,476,251 common shares of Railtown representing an exchange ratio of approximately 2.348 Railtown shares for each AIP share acquired (collectively, the "Consideration Shares"). The Consideration Shares are subject to escrow and contractual restrictions on transfer as follows:
Approximately 10 million of the Consideration Shares (the "Escrow Shares"), on a pro rata basis to all AIP shareholders, are placed in escrow upon closing of the Transaction (the "Effective Date") and subject to release or cancellation on the following basis:
Approximately 1 million Escrow Shares (the "Indemnity Shares"), on a pro rata basis to all AIP shareholders, will be subject to cancellation for no consideration in the event Railtown makes an indemnification claim prior to the date that is 12 months from the Effective Date, with one Consideration Share being cancelled for every $0.50 of Railtown's claim; and
50% of the Escrow Shares (including any Indemnity Shares that were not cancelled) will be eligible for release from escrow upon Railtown recording annual recurring revenue from AIP Affiliates equal to or greater than $1 million from the Effective Date to the date that is 36 months from the Effective Date (the "First Milestone") and the remaining 50% of the Escrow Shares will be eligible for release from escrow upon Railtown recording annual recurring revenue from AIP Affiliates equal to or greater than $2,000,000 (the "Second Milestone") from the Effective Date to the date that is 36 months from the Effective Date. If the First Milestone and/or Second Milestone are not met by the date that is 36 months from the Effective Date, the Escrow Shares that were to be released upon satisfaction of such milestone will be cancelled for no consideration. The Escrow Shares to be released from escrow as a result of satisfaction of the First Milestone or Second Milestone will be released upon satisfaction of such milestone but no earlier than 18 months from the Effective Date and no later than 36 months from the Effective Date, provided that certain Consideration Shares (the "Key Shareholder Shares") received by key AIP shareholders (the "Key Shareholders") will instead be released from escrow on the date that is 36 months from the Effective Date;
all other Key Shareholder Shares received by the Key Shareholders are placed into escrow on the Effective Date and released in equal quarterly instalments during the 36 months following the Effective Date, with 10% of 4/5th of the total number of Key Shareholder Shares held by the Key Shareholders being released on the Effective Date; and
all other Consideration Shares are subject to a contractual restriction on transfer pursuant to the Amalgamation Agreement with 10% of such shares being released from any restriction on transfer as of the Effective Date and the remainder being released in six equal instalments of 15% on a quarterly basis until the date that is 18 months from the Effective Date.
The Amalgamation Agreement was negotiated at arm's length between representatives of Railtown and AIP. In connection with the execution of the Amalgamation Agreement and in support of the Transaction, shareholders of AIP holding approximately 51.24% of the outstanding shares of AIP have entered into voting support agreements with Railtown and AIP in support of the Transaction.

Railtown AI Technologies Executes Amalgamation Agreement with AI Partnerships Corp. and Announces MOU with DIGITAL
Vancouver, British Columbia--(Newsfile Corp. - October 8, 2025) - Railtown AI Technologies Inc. (CSE: RAIL) (OTCQB: RLAIF) ("Railtown" or the "Company"), a leader in Canadian-built artificial intelligence (AI) solutions, is pleased to announce that, further to its previously announced memorandum of understanding with AI Partnerships Corp. ("AIP"), it has entered into an amalgamation agreement with AIP (the "Amalgamation Agreement"), pursuant to which Railtown will acquire all of the issued and outstanding shares of AIP in exchange for common shares of Railtown by way of a three-cornered amalgamation (the "Transaction") and AIP will become a wholly-owned subsidiary of Railtown. This milestone marks a major step in Railtown's vision to create a "first of its kind" artificial intelligence (AI) affiliate marketplace, leveraging its core technologies and agentic frameworks to connect Canada's AI ecosystem to secure, sovereign computer infrastructure.
As explained in more detail below, highlights of the transaction are:
40 million shares issued at a deemed price of $0.50 per share (representing 17.8% of the fully diluted post-transaction shares outstanding); such shares restricted to staged release over 18 months or 36 months (in the case of AIP's founders).
An additional 10 million performance shares at a deemed price of $0.50 per share (representing 4.5% of the fully diluted post-transaction shares outstanding) issued into escrow to be released upon recurring revenue milestones as delineated below.
Strengthening the Ecosystem through DIGITAL Partnership
Following completion of the Transaction, Railtown is also pleased to announce that it will have the benefit of a memorandum of understanding entered into by AIP and DIGITAL (the "DIGITAL MOU"). DIGITAL connects technology builders and buyers to accelerate the adoption and commercialization of Canadian solutions. Key aspects of this partnership include:
Bi-directional Referrals: Connecting DIGITAL members with AIP Affiliates and vice versa to enhance collaboration.
Joint Initiatives: Co-hosting events, webinars, and ideation sessions to drive AI thought leadership.
Ecosystem Engagement: Inviting members, clients, and personnel from both organizations to participate in working groups, roundtables, and knowledge-sharing events.

Railtown's acquisition of AIP, combined with AIP's strategic partnership with DIGITAL, underscores Railtown's vision to create a "First of its Kind" AI affiliate marketplace. This platform is expected to leverage AIP's existing partnership network by connecting AIP Affiliates to Railtown's agentic frameworks, sovereign compute resources, investment opportunities, and ecosystem support.
By looking to position itself at the heart of Canada's AI innovation ecosystem, Railtown believes it is accelerating adoption, commercialization, and growth for Canadian AI companies.

The Transaction
Under the terms of the Transaction, Railtown will acquire all of the outstanding shares of AIP from the holders thereof in exchange for up to 50,000,000 common shares of Railtown representing an exchange ratio of approximately 2.52 Railtown shares for each AIP share acquired (subject to adjustment in accordance with the Amalgamation Agreement) (collectively, the "Consideration Shares"). The Consideration Shares will be subject to escrow and contractual restrictions on transfer as follows:
10,000,000 of the Consideration Shares (the "Escrow Shares"), on a pro rata basis to all AIP shareholders, will be placed in escrow upon closing of the Transaction (the "Effective Date") and subject to release or cancellation on the following basis:
1,000,000 Escrow Shares (the "Indemnity Shares"), on a pro rata basis to all AIP shareholders, will be subject to cancellation for no consideration in the event Railtown makes an indemnification claim prior to the date that is 12 months from the Effective Date, with one Consideration Share being cancelled for every $0.50 of Railtown's claim; and
50% of the Escrow Shares (including any Indemnity Shares that were not cancelled) will be eligible for release from escrow upon Railtown recording annual recurring revenue from AIP Affiliates equal to or greater than $1 million from the Effective Date to the date that is 36 months from the Effective Date (the "First Milestone") and the remaining 50% of the Escrow Shares will be eligible for release from escrow upon Railtown recording annual recurring revenue from AIP Affiliates equal to or greater than $2,000,000 (the "Second Milestone") from the Effective Date to the date that is 36 months from the Effective Date.
If the First Milestone and/or Second Milestone are not met by the date that is 36 months from the Effective Date, the Escrow Shares that were to be released upon satisfaction of such milestone will be cancelled for no consideration. The Escrow Shares to be released from escrow as a result of satisfaction of the First Milestone or Second Milestone will be released upon satisfaction of such milestone but no earlier than 18 months from the Effective Date and no later than 36 months from the Effective Date, provided that certain Consideration Shares (the "Key Shareholder Shares") received by key AIP shareholders (the "Key Shareholders") will instead be released from escrow on the date that is 36 months from the Effective Date;
All other Key Shareholder Shares received by the Key Shareholders will be placed into escrow on the Effective Date and released in equal quarterly instalments during the 36 months following the Effective Date, with 10% of 4/5th of the total number of Key Shareholder Shares held by the Key Shareholders being released on the Effective Date; and
All other Consideration Shares will be subject to a contractual restriction on transfer pursuant to the Amalgamation Agreement with 10% of such shares being released from any restriction on transfer as of the Effective Date and the remainder being released in six equal instalments of 15% on a quarterly basis until the date that is 18 months from the Effective Date.
The Amalgamation Agreement was negotiated at arm's length between representatives of Railtown and AIP. In connection with the execution of the Amalgamation Agreement and in support of the Transaction, shareholders of AIP holding approximately 51.24% of the outstanding shares of AIP have entered into voting support agreements with Railtown and AIP in support of the Transaction.
Completion of the Transaction is subject to a number of conditions, including, but not limited to, receipt of required shareholder approval by AIP. There can be no assurance that the Transaction will be completed as proposed or at all. The completion of the Transaction is also subject to other customary conditions for a transaction of this nature.
