                     RESULTS OF THE ANNUAL GENERAL MEETING                     

At Amey's Annual General Meeting, held on 27 May 2003, shareholders approved
all the resolutions put to the meeting.

A copy of the resolutions, which were passed as special business at the Annual
General Meeting, has been submitted to the UK Listing Authority and will
