(1)	The reporting person received these shares of common stock in connection with a personal guaranty given by the reporting person for the benefit of the Issuer in connection with a loan, whereby the Issuer borrowed funds from a lending institution.
(2)	Does not include shares held of record by The Riva Bursten 2000 Trust (the Trust). Mr. Bursten is a trustee of the Trust and shares voting and dispositive control over securities held by the Trust. Mr. Bursten disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that such reporting person is the beneficial owner of the securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
