PART III - NARRATIVE

 

The Registrant's quarterly report on Form 10-Q could not be filed within the prescribed time period because the Registrant encountered delays in its preparation of its quarterly financial statements due to the resignation of its Chief Financial Officer (“CFO”) and the illness of its principal accounting officer (“PAO”). The Registrant has replaced the CFO and engaged a consulting firm to perform the functions of the PAO in the interim, but is unlikely to be able to file its Form 10-Q by August 22, 2016.
