8.01 OTHER EVENTS.

As previously reported on Orbit International Corp.'s (the "Company") Quarterly Report on Form 10-Q for the period ended September 30, 2010 filed November 15, 2010, in May 2009, the Company engaged an investment banker to pursue strategic alternatives to enhance stockholder value, including the potential sale of the Company. On January 19, 2011, the Company provided notice of termination of its agreement with such investment banker and is not actively pursuing a sale of the Company at this time.
