European Lithium: Austrian Court Revokes Wolfsberg Permit

A binding merger agreement must be in place by Thursday, or the exclusivity will lapse. A lack of liquidity and a revoked environmental permit in Austria are complicating the deal.

As a condition of the merger, European Lithium must demonstrate that it has at least 330 million Australian dollars in cash. As of the end of March, the company had only about 306 million in its account.

During the current exclusivity period, the board’s hands are tied. The company is not permitted to issue new shares or take out loans. It remains unclear how management plans to close this funding gap by the deadline.

Bought 10k EULIF at .2825. They're "worth" 0.45 currently. Fideltiy charges $50 comm. Also sold 3 CRML cash secured puts $12.50 May 1. If it closes at 12.50 or less I will get 300 shares assigned.. which paid 0.65 a share, bringing my share cost to 11.85. I will probably buy some long calls, as they are cheap as well.

I didn't notice the deal until after I started my post. I'm buying more and will hope for a dip.

No reason why CRML can't get back to $30-35 or higher, as it moves forward.
As well, it will also take ownership of the Europe property.

Congrats on the double! Traders clueless here. EULIF is now DIRECTLY tied to CRML. As acquisition date is finalized, EULIF will trade closer and closer toNAV in CRML terms less a discount to cover for CRML volatility. I don’t believe this discount is sustainable though. 
CRML price is 14.2. 14.2*.035=0.497. EULIF should in .40s minimum 

It gapped today as well. About time. I got in here back in October on the hype. Paid 0.16


Critical Metals agrees to buy European Lithium for about $835 million

April 27 (Reuters) - U.S.-based miner Critical Metals has signed a letter of intent to purchase all outstanding shares of European Lithium (EULIF.NaE) in an about $835 million deal, a move that would secure its full ownership of Greenland's Tanbreez rare earth project.

Shares of Critical Metals, which currently holds a 92.5% interest in one of the world's largest known rare earth deposits, jumped more than 6% after the announcement on Monday. Mining and development company European Lithium (EULIF.NaE) owns the remaining 7.5% in the project.

The Tanbreez project is seen as a critical alternative source of heavy rare earths, used in electric vehicles, medical equipment, oil refining, wind turbines and defense, as Western nations work to reduce their reliance on China for these vital resources.

Critical Metals said the complete ownership of Tanbreez would simplify decision-making and financing strategy for the project as it advances toward a development decision.

Late last year, Reuters reported that the Trump administration had discussed taking a stake in Critical Metals, which would give Washington a direct interest in the Tanbreez project.

Critical Metals, spun out of European Lithium (EULIF.NaE) by combining its flagship Wolfsberg project in Austria with a special purpose acquisition corporation, dubbed Sizzle, commenced trading in 2024.

Under the latest deal, expected to be completed in the second half of this year, European Lithium (EULIF.NaE) shareholders would receive 0.035 shares of Critical Metals for each held.

The two companies also share senior leadership. Critical Metals CEO Tony Sage serves as an executive chairman of European Lithium (EULIF.NaE), while Dietrich Wanke, the top boss of the Australia-listed company, is the president of Critical Metals' European operations.

I was wondering if anyone else was watching the filings. About a week ago Merrill Lynch because a 5% holder and Bank of America became a 6% holder.Morgan Stanley and Mitsubishi Financial are each 5% holders now. All of these large investment groups have been buying up positions for the last 3 months. Every time one of us stupid retail investors sell they gobble it up. Who knows who else is buying.We have four titans that own a combined 21% of this company as of now, and it's a penny stock in the US. They spit on these stocks usually, not build positions. It tells me I'm in the right place. I don't know when it'll skyrocket, it could be months. But I'm keeping my position here.
