( 1)  Effective as of June 10, 2011, Ceres Ventures, Inc. (the "Company") awarded Ms. Bien a restricted stock grant of 135,000 shares for her service as Chief Financial Officer of the Company, which vests in three equal installments on June 20, 2011, 2012 and 2013. This Form 4 relates to the 45,000 shares that vested on June 20, 2012.
