Explanation of Responses:
( 1)  The board of directors of AVAX Technologies, Inc. (the "Company") granted Ms. Romig an incentive stock option (the "Option") to purchase 400,000 shares of the Company's common stock, par value $0.004 per share, in connection with her Employment Agreement, which she entered into with the Company on June 4, 2008. The Option was granted pursuant to the Company's 2006 Equity Incentive Plan.
( 2)  The Option vests in four equal annual installments with the first installment vesting on June 4, 2009.
