("Spicer Capital"), an entity he owns and controls, reports that on November 2nd, 2010, in a private transaction, it purchased (the "Acquisition") 3,980,918 common shares of Roadking at a price of $0.065 per common share. Immediately after the transaction, Greg Spicer, the CEO, President and Interim CFO of Roadking, has beneficial ownership and legal control of 1,828,171 common shares in the share capital of Roadking and Spicer Capital beneficially owns or has legal control of 3,980,918 common shares in the share capital of Roadking. As a result, immediately after the transaction, Greg Spicer and Spicer Capital, in aggregate, have beneficial ownership or legal control of 5,809,089 common shares or approximately 12.39% of the total issued and outstanding common shares in the share capital of Roadking, calculated on a fully diluted basis. The common shares were purchased for investment purposes. Greg Spicer and Spicer Capital continually review its investment alternatives and may purchase additional securities of Roadking from time to time in accordance with applicable securities laws.
