Ltd. (the 'Company') and Royal Resources Limited ('Royal') pursuant to
which the Company has agreed to sell to Royal a sixty percent (60%)
interest in four Northern Territory Exploration Licenses located in
Australia (collectively the 'Tenements').
In order for Royal to earn its interest in the Tenements, Royal must
incur aggregate exploration expenditures on the Tenements of AUS$900,000
over a three year period with a minimum of AUS$300,000 to be incurred in
the first year.
Insider / Pro Group Participation:
At the time the Agreement was signed a director of the Company (Frank
DeMarte) was a director of the Royal. Mr. DeMarte declared his conflict
of interest in the transaction to the Company and abstained from voting
on all directors resolutions relating to the Agreement.

consolidation of capital. The symbol extension differentiates NEX symbols

Further to the TSX Venture Exchange Bulletin dated March 18, 2009 and
pursuant to the Company's news release of March 19, 2009 on SEDAR,
effective at the open, March 24, 2009, trading in the shares of the
Company will be suspended, the Company having failed to maintain Exchange
Requirements in accordance with Policy 3.1, as the Company has less than
3 directors.
Members are prohibited from trading in the securities of the Company
