Explanation of Responses:

Includes 25,000 shares of performance restricted stock granted under the Management Incentive Plan of Chaparral Energy, Inc., dated as of August 16, 2017 (the "MIP"), and 75,000 shares of time restricted stock granted under the MIP. The 25,000 shares of performance restricted stock will vest ratably on December 31, 2019, December 31, 2020, and December 31, 2021, subject to continued employment through the vesting date and attainment of certain performance conditions established each year. The 75,000 shares of time restricted stock will vest ratably on April 1, 2020, April 1, 2021, and April 1, 2022, subject to continued employment through the vesting date.
