Regulation FD Disclosure
|
The Company held a meeting on
March 17, 2009, in New York City, New York to update lenders on 2008 operating results, current market conditions and 2009 operating initiatives being employed. Also during that meeting, the Company launched a credit agreement amendment
process seeking revisions in certain financial covenants. Results of the amendment process should be completed in approximately two - three weeks.
As
disclosed in the 2008 Form 10-K, the Company was in compliance with all of its debt covenants as of January 3, 2009 and also disclosed that it expects to remain in compliance throughout fiscal year 2009. However, given the uncertainty of
the current economic conditions, the Company has decided to seek an amendment as a precautionary measure to maintain sufficient cushion under the debt covenants to ensure compliance during fiscal year 2009 and beyond.
