Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 15, 2024, Jon Sebastiani notified the Executive Chairman of the Board of Directors (the “Board”) of Vintage Wine Estates, Inc. (the “Company”) of his decision to resign from his positions as a member of the Board and a member of the Board’s Nominating and Corporate Governance Committee, effective immediately. Mr. Sebastiani’s resignation was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
