Item 8.01

Other Events.

As previously disclosed, on October 24, 2008, BB&T Capital Markets (“BB&T”) filed suit against MRU Holdings, Inc. (the “Company”) in the U.S. District Court for the Southern District of New York (the “Court”) alleging a breach of contract arising out of several agreements between BB&T and the Company (the “Lawsuit”). On December 8, 2008, (i) the Company and BB&T entered into a settlement agreement and (ii) BB&T filed a Notice of Dismissal in the Court dismissing the Lawsuit.
