Explanation of Responses:
( 1)  Represents shares withheld to satisfy the exercise price and income tax obligations associated with the exercise of stock options.
( 2)  Shares owned by Doris-Sauer Revocable Trust u/a/d 5 Nov. 2004, a revocable trust established by Robert Doris and Mary Sauer, husband and wife. Mr. Doris and Ms. Sauer are joint tenants and each has power to vote and dispose of any and all securities held by the trust.
( 3)  The underlying stock option vested monthly over one year commencing on June 12, 2008 and is subject to change of control vesting per standard company policy for executive officers and directors.
( 4)  The underlying stock option vested monthly over one year commencing on December 15, 2008 and is subject to change of control vesting per standard company policy for executive officers and directors.
( 5)  The underlying stock option vested monthly over one year commencing on October 28, 2009 and is subject to change of control vesting per standard company policy for executive officers and directors.
( 6)  The underlying stock option vests monthly over one year commencing on October 7, 2010 and is subject to change of control vesting per standard company policy for executive officers and directors.
