Explanation of Responses:
( 1)  The Restricted Stock Units (RSUs) were granted on December 17, 2010. Each RSU represents a contingent right to receive one share of rue21, inc. common stock. The RSUs are accompanied by dividend equivalent rights.
( 2)  The RSUs vest in three installments: 8,199 on December 17, 2011, 8,199 on December 17, 2012 and 8,200 on December 17, 2013. On each vesting date, for each RSU vesting on such date, the reporting person will receive one share of rue21, inc. common stock, subject to tax withholding.
( 3)  The options vest in three installments: 15,291 on December 17, 2011, 15,291 on December 17, 2012 and 15,296 on December 17, 2013.
