Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 11, 2023, Laura B. White, Executive Vice President, Chief Risk and Compliance Officer, of PRA Group, Inc. (the “Company”) notified the Company of her decision to resign from the Company effective on July 31, 2023. Ms. White’s decision to resign from the Company was not due to a disagreement with the Company or management related to its operations nor the Company's settlement in 2023 with the U.S. Consumer Financial Protection Bureau.

Ms. White will receive separation payments that are consistent with termination by the Company without cause under the terms of the existing employment agreement between Ms. White and the Company, a form of which is filed as Exhibit 10.4 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2022. In connection with her separation, Ms. White agreed to provide the Company with a general release of claims and will remain subject to certain non-compete and non-solicitation provisions for one year following her separation from the Company.
