Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2023, Phunware, Inc. (the "Company") notified Randall Crowder, Chief Operating Officer of the Company, that it was terminating his employment with the Company. The Company currently anticipates Mr. Crowder's employment will terminate effective November 30, 2023.
