The offtake agreement reflects the commercial terms contemplated under the parties' previously announced Memorandum of Understanding and represents a significant milestone toward the development of what is expected to become one of North America's largest purpose-built AI infrastructure campuses. The agreement provides for approximately $156 million in annual recurring revenue from the initial 100 MW phase and grants Nidar/Yotta a right of first offer on the remaining campus capacity, supporting a pathway to nearly 1 GW of development and up to $1.5 billion in annual revenue potential at full buildout. This makes sense to me also because a lot of the debt accumulated by the designated spinout assets from the old business model was paid off using NIXX shares. About $6M in debt (Calvary, Montage, Parrut debts) were wiped out using NIXX shares, seems only fair to use the subsidiary 10% equity holding revs to recoup those before the spinout is completed. IMO

This kind of makes sense of the 180 day period as it would allow for receipt of 2-3 quarters of payments related to the 10% preferred A equity ownership of Recruiter.com Ventures. Unless I'm missing something in the background of how this deal finalized between the 2 parties. Since the deal closed 9/24/24 according to the filing they had like 90 days to issue the shares to CognoGroup. Mid-Decemberish. So 3/31 would have been roughly their 1st quarter to get an equity payout. 
This is all just a hunch. 

Is it possible they are using the Quarterly payments from the 10% equity stake in JobMobz they gained by selling the Recruiter.com domain? Just a guess but it may be why the spinout of the CognoGroup assets to AESO has stalled.If you haven't looked at JobMobz now Recruiter.com ventures, the owner Jesse Tinsley claims the company is bootstrapped to a value of $700M. If they are receiving quarterly payouts as the deal suggested, they may likely be using this to execute the NIXX buyback. 

I mean from the light price appreciation volume yesterday in mid day... yesterday to me looked like it might have been a buy back day.

From 10-11am to 2pm price slowly appreciated.

$NIXX supposedly we are in the buyback period they PR'd about. I imagine theyll go slow to buy back shares at lowest price possible.

Yesterday price action... slow accumulated rise from 10am - 2pm. Could it be the company now collecting shares?

yes i believe so. I forgot the window, but I think 180 days? Don't quote that. Probably won't pump until after that. Why would they let it pump, as it would just cost them more money to buy the shares back, right?

They're supposed to be doing a buyback right now Which makes them smart for not pumping news

Anyone have a real feel for what the company is doing? Information seems scant.

For now, once the spinout or divestiture is complete they won't have anything to do with NIXX. I'd even bet they sell their common shares on the first good run after AESO is separate. 

This is my opinion of course, but I think Miles and Evan just want to get clear of NIXX as soon as they can. 

It does have effect.  NIXX is listed as control owner of AESO.  

The bigger AESO gets the more money it is worth as an asset for NIXX.

Because Miles is CEO of NIXX and Managing Director of AESO. He used AESO shares so it has no real effect on NIXX operations. 
Plus with Evan as Chairman of the Board they have the reins. Evan is the only listed director of AESO subsequently. 

Help me understand this.  Why would NIXX work an acquisition and put the new asset into AESO?
