On July 27, 2022, Motion Sponsor LLC ("Sponsor") made a pro rata distribution of shares of Issuer common stock and private placement warrants to acquire shares of Issuer common stock to its member and interest holders. As part of this distribution, Mr. Burdiek, a member and interest holder of Sponsor, received 415,537 shares of Issuer and 434,437 private placement warrants to acquire 434,437 shares of Issuer.
