(1)	Each share of Series B Common Stock is convertible, at the holder's election, into one share of Series A Common Stock, at any time for no consideration other than the surrender of the share of Series B Common Stock for each share of Series A Common Stock.
(2)	Represents shares of Series B Common Stock to be issued as a result of the certification on March 7, 2023 of the satisfaction of performance criteria established for the performance-based restricted stock units granted to the reporting person on March 9, 2022. This grant was made pursuant to the employment agreement between the reporting person and Liberty Media Corporation effective December 13, 2019 (the "Agreement"). This grant was a portion of the reporting person's Annual Equity Awards (as defined in the Agreement).
