The Notes will be offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to non-U.S. persons in reliance on Regulation S thereunder. The Offering is expected to close on April 30, 2026, subject to market and other conditions. On Monday, Eric Trump and Donald Trump Jr.'s firm, American Data Centers, announced it would merge with and take a 20% stake in American Bitcoin, a new mining operation.

As part of the deal, Hut 8 transferred "substantially all" of its ASIC bitcoin miners to American Data Centers, which was renamed and relaunched as American Bitcoin. Hut 8 received an 80% ownership in the company for the transaction.
