that the company's Board of Directors has engaged Sandler O'Neill
& Partners, L.P. to advise on the financial aspects of the
Company's review of its strategic options. Chairman Toomey said the
engagement of Sandler O'Neil was to help the Board evaluate the
strategic alternatives for the company while acting in the best
interest of its shareholders. He further indicated that all options
would be on the table, including remaining independent. About the
