Letter to Company Announcements Office


APPOINTMENT AND WITHDRAWAL OF DIRECTORS

We wish to announce that:-

(i)   in terms of Article 82(E) of the Articles of Association of the Company,
      Mr S L Shimukowa ceased to be a Director and Chairman of the Company with 
      effect from 4 February 2002. Following their ceasing to be employed by the 
      Government, Mr J M Mtonga and Mr A M Kashimu also ceased to be directors 
      of the Company;

(ii)  that with effect from 4 February 2002, Mr G K Chibuye (from the private 
      sector) was appointed a director of the Company and in terms of Article 
      74(A) non Executive Chairman of the Board of Directors;
 
(iii) with effect from 26 February 2002 the following were appointed directors 
      of the Company in terms of Article 81:

          Mr B Nonde
          Acting Secretary to the Treasury
          Ministry of Finance and National Planning

          Mr S Mpishi
          Permanent Secretary
          Ministry of Mines and Minerals Development
