                          OFFER BY WPP GROUP PLC ("WPP")

                                       FOR

                           TEMPUS GROUP PLC ("TEMPUS")


The Panel met on Wednesday 31st October to hear WPP's appeal against the Panel 
Executive's refusal to allow WPP to invoke either condition (g)(i) or (h)(iii) 
of its offer for Tempus. The Panel decided to dismiss WPP's appeal.


WPP will be entitled to apply for leave to appeal against this decision to the 
Appeal Committee of the Panel within twenty-four hours after detailed reasons 
have been delivered to the parties, which is expected to occur on or shortly 
after next Monday, 5th November.
