                        OFFER BY WPP GROUP PLC ("WPP")

                                     FOR

                         TEMPUS GROUP PLC ("TEMPUS")

The Panel Executive announced earlier today that it had ruled that WPP should
not be permitted to invoke either condition (g)(i) or (h)(iii) to its offer
for Tempus and that WPP was considering whether to appeal against this ruling.
WPP has informed the Panel Executive that it will appeal against this ruling.

A meeting of the Takeover Panel will be held next week to hear the appeal.
