On 26 September 2001 The Tempus Group Trust Company (1990) Limited ("the 
Trustee"),  in its capacity as trustee of the Tempus Group (1990) Employee 
Benefit Trust ("the  1990 EBT"),  acquired by subscription 37,500 ordinary 
shares of 5p each ("Tempus Shares") in Tempus Group PLC ("Tempus").   Such 
shares, which are the subject of a block listing, have been acquired by the 
Trustee at a subscription price of 442.5p per share, pursuant to the partial 
exercise of an option previously granted to the Trustee by Tempus.

Such shares were disposed of by the Trustee on the same day at the same price 
pursuant to the exercise of options granted by the Trustee to a participant in 
the Tempus Group 1998 Long Term Incentive Plan ("the LTIP").

Each of the directors of Tempus (other than Chris Ingram and David Reich) is, 
with others, deemed to be beneficially interested in the 837,780 Tempus Shares 
(representing 1.11% of the issued capital of Tempus) and options over 6,442,168 
Tempus Shares now held by the Trustee as the trustee of the 1990 EBT following 
the above transactions.

Each of the directors of Tempus is also, with others, deemed to be beneficially 
interested in those 959,000 Tempus Shares (1.27%) and options over 2,788,939 
Tempus Shares held by the Trust as the trustee of the Tempus Group 2000 Employee
Benefit Trust.

The options held by the Trustee are exercisable only upon the exercise of 
options granted by the Trustee under the Tempus Group 1998 Long Term Incentive 
Plan.

Following the issue of the above-mentioned Tempus shares the subject of the 
allotment, there will be 75,822,011 Tempus Shares in issue.
