Tempus Group PLC: Response to WPP Group plc



In relation to the announcement this morning by WPP Group plc ("WPP") of an
offer for Tempus Group PLC ("Tempus") at 555 pence per share in cash, the
Board of Tempus announces that it proposes to hold discussions, through its
advisers, with each of Havas Advertising and WPP in order to determine the
best eventual outcome for Tempus shareholders.  At that time, the Board of
Tempus will make a recommendation to its shareholders.  In the meantime, the
Board is withdrawing its recommendation to accept the cash offer of 541 pence
per share from Havas Advertising and shareholders are advised to take no
action pending further clarification.
