         RE:             Technoplast Industries Ltd - Immediate report


Technoplast Industries Ltd. (hereinafter: "the Company") has announced to the
Tel Aviv Stock Exchange and to the Israeli Securities Authority, as an immediate
report, and further to the Company's immediate reports of 30 November 2003 and 1
April 2004, that on 22 April, the Company's unsecured creditors meeting approved
the Company's proposed creditors arrangement (89.9% of the unsecured creditors
holding 94.4% of the Company's debt to unsecured creditors participating in the
vote voted in favor of the proposed creditors arrangement).

Subsequent to the above approval, the Company is expected to strike between NIS
4.5 million to NIS 6.5 million, depending on the alternative chosen be the
Company's unsecured creditors with respect to the rate of payment in cash.

Company's immediate report of 1 April 2004.



The Company's secured creditors meeting had been adjourned and shall
convene within the next few days.
