    Notice of General Meeting and Cancellation

    The Company confirms that it has dispatched a circular today to convene a general meeting of shareholders at the offices of WH Ireland
Limited, 10 St James's Square, Manchester, M2 6WH at 10 am (UK time) on 9 October 2008 to approve the cancellation of the Company's ordinary
shares to trading on AIM (the "Cancellation"). A copy of the circular will be available from the Company's website,
www.prince-catering.com.

    If shareholders approve the Cancellation at the General Meeting the expected date for the proposed Cancellation is 7am (UK time) on 17
October 2008.

    The directors of the Company believe that the admission of the Company's shares on AIM is no longer in the best interests of the
Company, particularly given its current financial position and the ongoing costs involved with maintaining its admission to AIM. 

    If the Cancellation is approved those shares which are trading on AIM will cease to trade from the date of Cancellation. 

    The original shareholders of the Company (being Guangfan Mai, Qihong Wei (the wife of Guangfan Mai), Jinbi He, Chunling Zhang (the wife
of Jinbi He), Yuktong Yip and Yungkon Yip) have, however, confirmed that they will purchase ordinary shares in the Company from existing
shareholders at a price of 2.16p per share for up to a period of six months from the date of Cancellation, in accordance with the procedure
set out in the Circular.
