Phoenix VCT plc announces that at a board meeting held on 16 February 
2009, 493,876 ordinary shares of 10 pence each in the Company 
("Ordinary Shares") were issued and allotted to 9 subscribers at a 
price of 36.5 pence per share for cash. 
 
Application for the new shares to be admitted to the Official List of 
the  UK  Listing  Authority  and  to  trading  on  the  London  Stock 
Exchange's market for listed securities will be made at the earliest 
practical opportunity. 
 
The issued share capital of the Company is now 11,605,315 Ordinary 
Shares and 5,356,248 C Shares. 
 
Therefore, the total number of voting rights in Phoenix VCT plc is 
16,961,563.
