                Home Computer Initiative ("HCI") Agreement with 
                      The City of Edinburgh Council ("EC")

The directors are pleased to announce that Meriden Holdings Limited ("MHL") the
100% subsidiary of Meriden Group Plc has agreed to undertake a major HCI
agreement with EC.

The HCI division of MHL delivers a consultancy lead service to large
corporations aimed at setting up a tax efficient payroll based deferred computer
purchase agreement under the Government's Home Computer Initiative, and then
dealing with the implementation and supply.

The HCI scheme is to be run for EC in March and April 2005, and if successful is
likely to be run again in subsequent years, under the terms of the agreement.

MHL will act as the HCI consultant and as EC's preferred supplier for the
provision of certain IT products and services to its employees as part of the
scheme. EC employs over 16,000 personnel.

Commenting on the agreement, Russell Stevens, Chief Executive said "We are
pleased to announce this HCI scheme with The City of Edinburgh Council and we
are confident that this will be the catalyst for other major HCI wins in
Scotland over the next twelve months."
