NOTICE OF WRITTEN RESOLUTION OF THE HOLDERS OF FOUNDER SHARES

LYXOR FOCUS FUND (GBP) LIMITED

(THE COMPANY)

Notice is hereby given by LYXOR FOCUS FUND (GBP) LIMITED (the "Company") that, by Written Resolution dated 4(th) December 2014, the holders of founder shares have made the following change to the Articles of Association;

"That Article 40.2 of the Articles of Association of the Company be and is hereby deleted in its entirety and replaced with the following wording:

"40.2 The Directors may convene an extraordinary general meeting of the Company at any time to propose a Special Resolution to wind up the Company summarily pursuant to Article 146 of the Law."
