                                 Result of GM

Impact Holdings (UK) plc is pleased to announce that all resolutions were
unanimously passed by a poll at the General Meeting ("GM") held today at the
Company's registered office, with shareholders representing 77.1% of the
Company's issued share capital carrying voting rights voting in favour of the
resolutions.

The Company has submitted a claim to Companies Court for approval of the
proposed reduction of capital, as detailed in the notice of the GM, on 10th
March 2014. The Court has listed a directions hearing before the Companies
Court Registrar on 17th March 2014, with an anticipated final hearing date of
26th March 2014, when any creditor or member of the Company who desires to
object may attend and be heard. A further announcement will be made following
the directions hearing.
