Result of EGM and Cash Placing
In Cup Plus plc ("In Cup" or the "Company") announces that at the extraordinary
general meeting ("EGM") of the Company held earlier today, the resolutions put
to shareholders were duly passed.
Application has been made for the admission to trading on the AIM market of the
London Stock Exchange of a further 34,000,000 ordinary shares of 1p each ("
Ordinary Shares") in In Cup. Due to the settlement terms agreed with one placee,
application will be made on or around 9 November for the remaining 5,000,000
Ordinary Shares issued pursuant to the Placing. The Placing Shares will
represent approximately 20.9 per cent. of the Company's enlarged issued share
capital.
It is expected that dealing in the 34,000,000 Ordinary Shares, which will rank
pari passu in all respects with the existing ordinary shares, will commence at
8.00 a.m. on 29 October 2007. The total number of shares in issue following this
admission will be 181,501,745.
It is expected that the remaining 5,000,000 Ordinary Shares will commence
trading on or around 12 November 2007. A further announcement will be made when
appropriate.
