           HYDER CONSULTING PLC ("Hyder Consulting" or the "Company")

                                  ACQUISITION

Hyder Consulting, the international engineering design, advisory and specialist
management consultancy, is pleased to announce the acquisition of a design
consultancy business in Germany.

ACQUISITION OF MUNNICH PROJEKT

The Company's German business has entered into an agreement to acquire the
business and assets of Munnich Projekt und Entwicklungsgesellschaft mbH, a firm
of civil engineers, traffic and highway planners based in Aalen, Germany. The
consideration for the acquisition amounts to #0.3 million, payable entirely in
cash. A team of around 15 staff will transfer. Turnover for the year to 31
December 2005 amounted to approximately #0.8 million, with profits before
interest and tax of #0.1 million. The net assets acquired are immaterial. The
acquisition extends Hyder Consulting's offering in Germany and gives access to
the growing Highways market.

Tim Wade, Chief Executive of Hyder Consulting commented, "I am delighted to

of increasing our critical mass in Germany. We will continue to identify
quality, specialist consultancies that will consolidate our strong skill base
and enhance our geographical coverage."

The Company's preliminary results for the year ended 31 March 2006 will be
released on 12 June 2006.
