                          Issue of new Ordinary shares
                                      And
                           Appointment of Consultant


Henderson Morley plc ("Henderson Morley" or "the Company") announces that the
Board has, today, issued and allotted, conditional upon Admission, a total of
22.3 million new Ordinary shares through a Placing at a price of 1.125 pence per
share, raising #250,875 for the Company.

Application has been made for the new shares to be admitted to AIM and trading
in the new shares is expected to commence on 20 October 2004.

In addition to providing working capital, the funds raised will enable the
Company to negotiate with potential partners prior to securing a licence with
milestone payments.

To further strengthen its negotiating position, the Board of Henderson Morley
has retained the services of a consultant, specifically to assist with the
business development aspects of its anti viral treatment, Ionic Contra Viral
Therapy) ICVT.

Daniel Kirchherr was, until recently, Business Development Director at Johnson &
Johnson where his responsibilities included search and identification of new
product opportunities, new commercial partners and the evaluation of all aspects
of new products. Prior to his career with Johnson & Johnson, he worked for Fuisz
Technologies and Abbott Laboratories.

Commenting, Henderson Morley's Executive Chairman Andrew Knight said: "We look
forward to working with Daniel as we believe that his experience will assist the
Company with its negotiations."
