                            DIRECTOR'S SHAREHOLDING
                                        
The Board of Henderson Morley plc ("the Company"), the AIM listed Drug Discovery
Company, is pleased to announce that Chairman, Andrew Knight, has purchased 
2,000,000 Ordinary shares in the Company on 20 January 2005, at a price of 1.1p 
per share.

Andrew Knight now has a beneficial interest in a total of 75,153,764 Ordinary
shares, representing 26.22 per cent. of the issued share capital of the Company.
