Glencar Mining plc ("Glencar" or the "Company") announces that, 
following the Offer by Gold Fields Metal BV becoming unconditional, 
Sean Finlay, Hugh McCullough, Kieran Harrington, Bill Cummins and 
Philip O'Quigley have resigned as directors with immediate effect. 
 
Thomas "Tommy" McKeith, Johan Pauley and Stephen Ellis have been 
appointed to the board of Glencar with immediate effect.  All of the 
new directors hold full time executive positions in the Gold Fields 
group. 
 
Commenting on the outcome of the Gold Fields offer, Sean Finlay, 
Glencar's outgoing Chairman said; "The high level of acceptances - 
over 83% - of the Gold Fields offer reflects the strong support by 
Glencar's shareholders for this transaction, which I believe provides 
fair value for all the parties. I wish Gold Fields every success with 
Glencar's exploration projects, particularly in Mali and am confident 
that successful mining ventures will emerge from these projects. 
 
I note the exceptional service and dedication of all of Glencar's 
executives and staff, both in Ireland, Ghana and Mali; especially 
Hugh McCullough, Kieran Harrington and Lazare Pare. In particular, I 
have been privileged to have worked closely with Hugh McCullough, 
Glencar's outgoing CEO, over many years. Hugh has served Glencar with 
singular dedication, integrity and success for over 25 years. His 
clear, calm and strategic approach has delivered many exploration 
successes and provided solutions and new departures when trading 
conditions moved against the company. I wish him every success in his 
future endeavors. 
 
I also note the substantial contribution of my fellow directors Bill 
Cummins and Philip O'Quiqley and of our professional advisers, Davy, 
Whitney Moore, Computershare and Horwath Bastow Charleton."
