    Amendment of working capital facility


    On 13 June 2008, Suez Energy South America Participaes Ltda. ("SESA") announced the terms of an all cash offer to acquire the entire
issued and to be issued share capital of the Company. As part of that announcement, it was also announced that an affiliate of SESA,
Electrabel Finance and Treasury Management (the "Lender") was making available to Econergy loan facilities of over US$50 million (the "Loan
Facility") which have subsequently been drawn down in part.

    The Company and the Lender have agreed to amend the terms of the Loan Facility to provide on similar terms with no material additional
security being provided, amongst other things, additional working capital of up to $9,200,000 and in particular to provide short to medium
term finance of up to $89,300,000 in relation to the Econergy Group's further investment in Planta Eca Guanacaste S.A. The purpose of the
investment is to develop and construct a class 1 wind project located in the Guayabo District in Guanacaste, Costa Rica (the "PEG Project")
