purchased 5,000 ordinary shares of 1p each for cancellation representing 0.05%
of the issued share capital at a price of 86.0p per share.

Following this transaction the Company now has 10,138,848 shares in issue. The
Company does not hold any shares in treasury.
Therefore the total number of voting rights in Downing Protected VCT II plc is
10,138,848.
