                             Director's Shareholding



D1 Oils plc ('the Company') has today received notification that Karl E. Watkin,
Non-Executive Director, has transferred 73,000 ordinary shares in the Company on
22 January 2007 for nil consideration to the Civil Liberties Charitable Trust,
which funds the work of the human rights group, Liberty.


Following the transfer, Mr Watkin and his connected persons hold an aggregate of
2,981,450 ordinary shares representing 4.84% of the issued ordinary share
capital of the Company.
